This End User Licence Agreement (“Agreement”) is a legal agreement between you (“Licensee”, “you”) and Dendro Construction Ltd, a company registered in England and Wales under company number 08202763, whose registered office is at 16 Coed Aben, Wrexham, LL13 9NT (“Licensor”, “we”, “us”). It governs your installation and use of the SiteCAD+ software application, together with any updates and documentation (the “Software”).
1. Definitions
1.1 ‘Licence Key’ means the activation code we issue that enables use of the Software under a particular licence type.
1.2 ‘Trial’ means a time-limited evaluation licence (30 days from first activation).
1.3 ‘Founder Licence’ means a 12-month licence offered at a special price to the first fifty (50) customers.
1.4 ‘Annual Licence’ means a 12-month licence purchased for a fixed term; it does not auto-renew and is renewed by purchasing again.
1.5 ‘Device’ means a single computer to which a Licence Key is locked on activation.
2. Grant of licence
2.1 We grant you a non-exclusive, non-transferable licence to install and use the Software on one Device,
for the licence type you have obtained, subject to this Agreement. The Software is licensed to business customers only (see clause 7).
2.2 Trial: we may issue a 30-day trial Licence Key so you can evaluate the Software with full features. When the trial key expires the Software will cease to function unless a paid Licence Key is activated.
2.3 Founder Licence: a 12-month licence for one user on one Device, at the first-50 price, entitling you to updates during the term. On expiry the Software will cease to function unless renewed (see clause 6.2).
2.4 Annual Licence: a licence for one user on one Device for a 12-month term, entitling you to the current version and updates during the term. On expiry the Software will cease to function unless renewed.
2.5 Node-locking and transfer: each Licence Key is locked to one Device on activation. If you replace or reformat your Device, contact us and we will, acting reasonably, re-issue or re-activate your key. You must not use one Licence Key on more than one Device at a time.
3. Restrictions
You must not, and must not permit any third party to:
- copy, distribute, sell, rent, sub-licence, lend or otherwise make the Software or a Licence Key available to any third party;
- reverse engineer, decompile or disassemble the Software, or attempt to derive its source code, except to the extent this restriction cannot be excluded by law;
- circumvent, disable or tamper with the licensing, activation or node-locking mechanisms;
- remove or alter any proprietary notices; or
- use the Software unlawfully or outside the scope of the licence granted.
4. Ownership and intellectual property
4.1 The Software is licensed, not sold. All intellectual property rights in the Software remain the property of Dendro Construction Ltd or its licensors.
4.2 You retain ownership of the drawings, data and files you create with the Software. We claim no rights in your content.
5. Professional use and verification of outputs
5.1 The Software assists with tasks such as reading drawings, setting-out data, points management, volumes and cut/fill, surfaces and plotting. All outputs are calculated aids only.
5.2 You are solely responsible for independently checking and verifying every output of the Software — including setting-out coordinates, levels, quantities and volumes — by a competent person using appropriate professional methods before it is relied upon or used on site. By using the Software you confirm that you (or the person relying on its outputs) are competent to carry out that checking.
5.3 The Software must not be used as the sole basis for any setting-out, construction, financial or safety-critical decision. You remain responsible for the accuracy of your control, your inputs, and the checking of results.
6. Updates and support
6.1 We may issue updates, fixes and new versions. We recommend you keep the Software up to date. Updates are provided under this Agreement unless accompanied by separate terms.
6.2 Licence term: both the Founder Licence and the Annual Licence run for 12 months from activation and then expire unless renewed. Neither is perpetual. Renewal is by purchasing again; we do not take automatic recurring payments. We are not obliged to maintain, support or update the Software indefinitely, or after we discontinue it.
6.3 Support is provided on a reasonable-endeavours basis by email at dendroconstructionltd@gmail.com. Annual Licence holders receive priority support.
7. Business customers only
The Software is licensed to business customers only — sole traders, firms and companies acquiring it for the purposes of their trade, business or profession. By purchasing, activating or using the Software you confirm that you are acting in the course of a business and not as a consumer, and you acknowledge that the consumer protections in the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013 do not apply to this Agreement. Nothing in this Agreement excludes or limits any liability or right that cannot be excluded or limited by law (see clause 9.1).
8. Warranties and disclaimer
8.1 We warrant that we have the right to grant this licence.
8.2 Except for the warranty in clause 8.1, and subject to the mandatory carve-outs in clause 9.1, the Software is provided ‘as is’ and ‘as available’ to the fullest extent permitted by law. We do not warrant that it will be error-free or uninterrupted, or that its outputs will be accurate, complete or fit for any particular purpose, and all warranties, conditions and terms implied by statute or common law are excluded to the extent the law allows.
9. Limitation of liability
9.1 Nothing in this Agreement limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything that cannot be limited or excluded by law.
9.2 Subject to clause 9.1, we are not liable for: (a) any loss arising from your reliance on an output of the Software that has not been independently verified under clause 5; (b) loss of profit, revenue, contracts, data, goodwill, or any indirect or consequential loss; or (c) losses arising from your inputs, control data, or use of the Software outside this Agreement.
9.3 Subject to clause 9.1, our total aggregate liability arising out of or in connection with this Agreement (whether in contract, tort including negligence, or otherwise) is limited to the total fees you paid for the Software in the 12 months before the event giving rise to the claim.
10. Term and termination
10.1 This Agreement applies from first use and continues until terminated or, for a paid licence, until the 12-month term expires without renewal.
10.2 We may terminate the licence if you materially breach this Agreement (including the restrictions in clause 3). On termination you must stop using and remove the Software.
11. Data protection
To issue and enforce Licence Keys we process limited personal data (such as your name, email and a device identifier). We handle personal data in accordance with our Privacy Policy.
12. General
12.1 This Agreement is the entire agreement between us regarding the Software and supersedes any prior understanding.
12.2 If any provision is found unenforceable, the rest continues in force.
12.3 You may not assign this Agreement without our consent. We may assign it on notice to you.
12.4 This Agreement is governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction over any dispute arising out of or in connection with it.
